F12 · kind: On November 8, 2002, the reporting person was granted an option to purchase 3,250 shares of the Issuer's Common Stock at a purchase price of $37.05 per share. The actual grant date was subsequently determined to be November 18, 2002. Had the option been granted at fair market value on November 18, 2002, the exercise price of the option would have been $37.43 per share. To avoid adverse tax consequences, the Compensation Committee of the Board of Directors of the Issuer approved an amendment to the stock option on November 6, 2007 to increase the exercise price, with respect to the portion of the option vesting after December 31, 2004 (representing 1,896 shares), to the lower of (a) the fair market value per share of the Issuer's common stock on the actual grant date ($37.43) or (b) the fair market value per share on the November 6, 2007 amendment date ($50.51). (Continue with footnote 13)

F13 · kind: The amendment is reported in this Form 4 as a cancellation of a portion of the option and the grant of a replacement option. The option remains exercisable for 1,354 shares at the original exercise price of $37.05 per share.

F1 · security: On September 19, 2006, the Reporting Person was granted a restricted stock unit covering up to 62,500 shares of the Issuer's Common Stock which are subject to both performance-vesting and service-vesting requirements. Following the completion of the Issuer's audited financial statements for the 2007 fiscal year, the Issuer's Board of Directors determined on August 8, 2007 the level at which the performance goals were attained, and based on that assessment, determined that the number of shares subject to the restricted stock units is 62,500. The Reporting Person will vest in 50% of the restricted stock units upon his completion of two years of service with the Issuer measured from September 19, 2006 and will vest in the remaining 50% upon his completion of an additional two years of service thereafter. The shares of common stock will be issued as the restricted stock units vest.
